§ 850.219. Parent.

The term parent means, with respect to an entity:
(a)A person who or which directly or indirectly holds more than 50 percent of:
(1)The outstanding voting interest in the entity; or
(2)The voting power of the board of the entity;
(b)The general partner, managing member, or equivalent of the entity; or
(c)The investment adviser to any entity that is a pooled investment fund, with "investment adviser" as defined in the Investment Advisers Act of 1940 (15 U.S.C. 80b-2(a)(11)). Note 1 to § 850.219: Any entity that meets the conditions of paragraph (a), (b), or
(c)of this section with respect to another entity is the parent, even if the parent entity is an intermediate entity and not the ultimate parent.
