Section 4 of the Securities Act of 1933 (15 U.S.C. 77d) is amended— by redesignating the two subsections following subsection
(a)(each designated as subsection (b)) as subsections
(c)and (d), respectively; and by inserting after subsection
(a)the following new subsection: With respect to paragraphs
(1)and
(2)of subsection (a), or any rule or regulation promulgated thereunder or in furtherance thereof (including Rule 144, Rule 144A and Rule 506), the Commission shall not condition the availability of the exemptions afforded by any such paragraph, rule, or regulation upon an issuer’s undertaking to provide to investors, in connection with initial offers or sales or on an ongoing basis thereafter, the same or substantially similar information as would be required in a transaction to which section 5 applies. .
