351.335. Board meetings, where and how held. — Unless otherwise provided in the articles of incorporation or bylaws of the corporation,
(1)meetings of the board of directors or of any committee designated by the board of directors may be held at any place either within or without this state, and
(2)members of the board of directors or of any committee designated by the board of directors may participate in a meeting of the board or committee by means of conference telephone or similar communications equipment whereby all persons participating in the meeting can hear each other, and participation in a meeting in this manner shall constitute presence in person at the meeting.
