275.415 Registered office and registered agent for foreign limited liability

company. Each foreign limited liability company authorized to transact business in this Commonwealth shall continuously maintain in this Commonwealth:
(1)A registered office that may be the same as any of its places of business; and
(2)A registered agent, who may be:
(a)An individual who resides in this Commonwealth and whose business office
is identical with the registered office;
(b)A domestic corporation or not-for-profit domestic corporation whose business
office is identical with the registered office;
(c)A foreign corporation or foreign not-for-profit corporation authorized to
transact business in this Commonwealth whose business office is identical
with the registered office; or
(d)A domestic limited liability company or a foreign limited liability company
authorized to transact business in this Commonwealth whose business address
is identical with the registered office.
(3)The registered agent shall execute and deliver to the Secretary of State a document
accepting the agency appointment, and the appointment of the agent shall not be
effective until delivered to the Secretary of State.
